1. Agreement and Definitions

1.1 Contracting Party

These Terms of Service (“Terms”, “Agreement”) constitute a legally binding contract between you (“Customer,” “Client,” “User,” “you,” “your”) and ALIM Ltd trading as Voice AI Portal, a company registered under the laws of England and Wales with Company Number 14528810 and registered office at [Registered Address] (“Voice AI Portal,” “we,” “us,” “our”).

1.2 Platform Description

Voice AI Portal is a Software-as-a-Service (SaaS) platform providing unified analytics, client workspace management, and white-label dashboard solutions for businesses and agencies operating voice AI agents across multiple third-party platforms including Retell AI, VAPI, ElevenLabs, and other supported voice AI providers.

1.3 Service Scope

By accessing Voice AI Portal through our website, API, mobile application, or any related services (collectively, the “Service” or “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

1.4 Business User Requirement

Voice AI Portal provides services exclusively to business entities, AI automation agencies, SaaS companies, and professional operators. You represent that you are accessing the Platform for legitimate business purposes and possess the legal authority to enter into binding commercial agreements.

2. Service Features and Functionality

2.1 Core Platform Services

Voice AI Portal provides the following core functionalities:

  • Unified Analytics Dashboard: Consolidated real-time and historical call data, performance metrics, and ROI calculations from multiple voice AI platforms
  • Multi-Tenant Workspace Management: Segregated client workspaces with isolated data environments and customizable access controls
  • White-Label Client Portals: Fully brandable dashboards with custom logos, color schemes, and domain configurations
  • Call Management Tools: Call recording playback, transcript access, and metadata analysis
  • Cost Tracking and Reporting: Per-client, per-campaign, and per-number cost allocation and ROI measurement
  • Integration Services: API connections, webhook endpoints, and data synchronization with supported voice AI vendors
  • Passwordless Authentication: Magic login link generation for seamless client access without credential management

2.2 Third-Party Platform Integrations

Our Platform integrates with third-party voice AI service providers as documented in our Sub-Processors List. You acknowledge that:

  • Use of integrated third-party services is governed by their respective terms of service, privacy policies, and acceptable use policies
  • Voice AI Portal does not control third-party service availability, performance, data handling, or pricing
  • You are responsible for maintaining active, compliant accounts with integrated voice AI providers
  • Voice AI Portal is not liable for service interruptions, data loss, or policy violations originating from third-party platforms

2.3 API and Webhook Services

Voice AI Portal provides programmatic access through RESTful APIs and webhook event notifications. API usage is subject to:

  • Rate limiting and usage quotas based on your subscription tier
  • Authentication requirements using API keys or OAuth tokens
  • Compliance with API documentation and integration guidelines
  • Prohibition of unauthorized access, reverse engineering, or competitive use

2.4 Service Modifications and Updates

We reserve the right to modify, enhance, discontinue, or replace Platform features with reasonable advance notice. We will make commercially reasonable efforts to maintain backward compatibility and minimize disruption during updates. Critical security updates may be deployed without prior notice.

3. Account Registration and Management

3.1 Account Creation Requirements

To access Voice AI Portal services, you must create an account by providing accurate, current, and complete information including:

  • Legal business name and registration details
  • Primary contact information (name, email, phone number)
  • Billing address and payment method
  • Intended use case and service requirements

You represent and warrant that all registration information is truthful, accurate, and maintained as current throughout your use of the Service.

3.2 Account Authorization

You represent that:

  • You are at least 18 years of age and possess legal capacity to contract
  • You are authorized to bind your organization to these Terms
  • You have obtained all necessary internal approvals to subscribe to the Service
  • Your use of the Platform will comply with all applicable laws and regulations

3.3 Account Security Obligations

You are solely responsible for:

  • Maintaining the confidentiality of account credentials, API keys, and access tokens
  • All activities occurring under your account, including unauthorized access resulting from credential sharing
  • Implementing appropriate security measures for workspace access and user management
  • Immediately notifying Voice AI Portal of suspected security breaches or unauthorized access

Voice AI Portal cannot and will not be liable for losses arising from unauthorized account use resulting from your failure to maintain security.

3.4 Single Account Policy

Each legal business entity may maintain only one active account unless expressly authorized in writing by Voice AI Portal. Creating multiple accounts through different names, email addresses, payment methods, or related entities without authorization is strictly prohibited and constitutes grounds for immediate termination.

3.5 Account Verification

We reserve the right to verify account information at any time through:

  • Identity verification procedures including document requests
  • Device fingerprinting and behavioral analysis
  • IP address monitoring and geolocation verification
  • Third-party identity verification services

You consent to such verification measures as a condition of Platform access.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use Voice AI Portal exclusively for lawful business purposes related to managing, analyzing, and reporting on voice AI agent performance and client communications. Permitted activities include aggregating analytics, generating client reports, tracking ROI metrics, and managing multi-client voice AI deployments.

4.2 Prohibited Activities

You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Platform to facilitate illegal activities, fraud, harassment, or deceptive practices
  • Create multiple accounts or use false information to circumvent restrictions
  • Employ technical measures (VPNs, proxies, anonymization services) to mask identity or evade detection
  • Transfer, sell, sublicense, or share account access with unauthorized parties
  • Impersonate any person, entity, or Voice AI Portal representative
  • Introduce viruses, malware, or harmful code to the Platform
  • Attempt unauthorized access to systems, networks, or other users’ data
  • Reverse engineer, decompile, disassemble, or derive source code from the Platform
  • Use automated tools to scrape, harvest, or extract data beyond API limits
  • Use our services to compete with Voice AI Portal
  • Violate terms of service of integrated third-party voice AI providers

4.3 Voice AI Compliance Responsibilities

When operating voice AI systems tracked through our Platform, you are solely responsible for:

  • Consent Management: Obtaining proper consent before initiating voice AI calls, particularly to mobile phones and residential numbers
  • Disclosure Requirements: Clearly informing call recipients that they are interacting with artificial intelligence
  • Recording Compliance: Complying with one-party or two-party consent laws governing call recording in applicable jurisdictions
  • Do Not Call Lists: Checking and honoring National, State, and internal Do Not Call registries before making calls
  • Opt-Out Mechanisms: Providing clear, immediate opt-out options during every voice AI interaction
  • Time Restrictions: Respecting calling time limitations (typically 8:00 AM to 9:00 PM local recipient time)
  • Data Privacy: Ensuring voice data processing complies with UK GDPR, CCPA, and other applicable privacy regulations

YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR ALL LEGAL AND REGULATORY CONSEQUENCES ARISING FROM YOUR VOICE AI OPERATIONS, including but not limited to:

  • Telephone Consumer Protection Act (TCPA) violations and associated statutory damages
  • Privacy law violations including UK GDPR fines, CCPA penalties, and related enforcement actions
  • Spam call complaints and telecommunications regulatory proceedings
  • Data breach notifications, remediation costs, and liability
  • Healthcare information violations including HIPAA penalties
  • Any other legal claims, regulatory fines, or enforcement actions

Voice AI Portal provides analytics and reporting tools only and does not control, direct, or participate in your voice AI communications. You must maintain comprehensive compliance records including consent documentation, call logs, and opt-out requests as required by applicable laws.

4.5 Fraud Detection and Monitoring

We employ automated and manual fraud detection methods including device fingerprinting, IP analysis, behavioral patterns, and identity verification. We reserve the right to:

  • Suspend accounts pending investigation of suspicious activity
  • Require additional identity verification documentation
  • Block access from specific IP addresses, devices, or geographic regions
  • Terminate accounts engaging in fraudulent, abusive, or deceptive practices
  • Share fraud-related information with law enforcement and verification services

5. White-Label Services

5.1 White-Label License Grant

Subject to your compliance with these Terms and payment of applicable fees, Voice AI Portal grants you a limited, non-exclusive, non-transferable, revocable license to use our white-label services to provide branded voice AI analytics solutions to your clients under your own business identity.

5.2 Branding and Customization Rights

You may customize white-labeled portals by:

  • Uploading custom logos, brand colors, and visual styling
  • Configuring custom domain names (subject to DNS verification)
  • Selecting visible metrics, widgets, and dashboard layouts
  • Creating client-specific workspace configurations

You may not modify core Platform functionality, security features, or present the Service as your own proprietary technology.

5.3 Client Relationship Independence

You acknowledge that:

  • Voice AI Portal is not a party to agreements between you and your clients
  • You are solely responsible for client contracts, service terms, support obligations, and billing relationships
  • You bear full liability for client compliance with applicable laws and regulations
  • Client disputes, refund requests, and service complaints are your exclusive responsibility

5.4 White-Label Pricing Freedom

You are free to establish your own pricing structure, billing terms, and commercial arrangements with your clients. Voice AI Portal’s fees to you are independent of your client pricing.

5.5 Non-Exclusive Rights

White-label rights are non-exclusive. Voice AI Portal may provide similar or identical services to other customers, including businesses that compete directly with you.

5.6 Client Compliance Obligations

You must ensure your white-label clients comply with all applicable laws, regulations, and these Terms. You remain fully liable for client actions, data handling practices, and regulatory violations occurring through workspaces you manage.

6. Intellectual Property Rights

6.1 Voice AI Portal Ownership

Voice AI Portal retains all right, title, and interest in and to the Platform, including all software, technology, algorithms, user interfaces, documentation, trademarks, trade secrets, and related intellectual property. No ownership rights are transferred to you; only the limited license expressly granted in these Terms applies.

6.2 Customer Data Ownership

You retain all ownership rights to data you upload, generate, or process through the Platform (“Customer Data”). You grant Voice AI Portal a limited, non-exclusive, royalty-free license to access, process, store, transmit, and display Customer Data solely as necessary to provide the Service and fulfill our obligations under these Terms.

6.3 Aggregate and Anonymous Data

Voice AI Portal may create anonymized, aggregated statistical data derived from Platform usage that does not identify you or your clients (“Aggregate Data”). We retain ownership of Aggregate Data and may use it for analytics, product improvement, benchmarking, marketing, and other lawful business purposes.

6.4 Feedback and Improvements

Any feedback, suggestions, enhancement requests, or improvement ideas you provide become the exclusive property of Voice AI Portal. We may use such feedback without compensation, acknowledgment, or restriction for any purpose including product development and competitive positioning.

6.5 Trademark Usage

You may not use Voice AI Portal trademarks, logos, or brand elements except as expressly authorized in white-label branding guidelines. Any unauthorized use of our marks constitutes infringement and grounds for immediate termination.

7. Subscription Fees and Payment Terms

7.1 Subscription Model

Voice AI Portal operates on a subscription basis with fees determined by your selected plan tier, feature set, workspace quantity, and usage levels. All fees are stated in British Pounds Sterling (GBP) exclusive of applicable taxes unless otherwise specified.

7.2 Payment Authorization

By providing payment information, you authorize Voice AI Portal to charge your designated payment method for:

  • Recurring subscription fees according to your billing cycle (monthly or annually)
  • Usage-based fees for consumption exceeding plan limits
  • Add-on features, premium integrations, or additional workspaces
  • Applicable taxes, duties, and government-imposed fees including UK VAT

7.3 Payment Processing

Payment is due in advance for each billing period. You are responsible for:

  • Maintaining valid, current payment information throughout your subscription
  • Ensuring sufficient funds or credit availability for recurring charges
  • Updating payment methods before expiration to avoid service interruption
  • Paying all applicable taxes including UK VAT, sales tax, and withholding tax

7.4 Failed Payments and Grace Period

If payment fails for any reason:

Starter Plan: 7-day grace period
Professional Plan: 10-day grace period
Agency Plan: 14-day grace period

During the grace period:

  • Days 0-3: You retain full Platform access; dismissible payment reminder modal displayed to agency administrators
  • Days 4-7 (Starter) / 4-10 (Professional) / 4-14 (Agency): Full access continues; persistent payment modal displayed to administrators
  • Days 8+ (Starter) / 11+ (Professional) / 15+ (Agency): Administrators see blocking payment modal; end users see warning banner
  • After grace period expires: End user access is suspended; administrators receive read-only access for data export

We will send email reminders on days 1, 3, 7, and 10 of the grace period, with a final notice before suspension.

7.5 Account Suspension

After the grace period expires without successful payment:

  • End user portals will display a service unavailable message
  • Agency administrators will have read-only access to export data
  • All API access and webhook integrations will be disabled
  • You will receive notification of suspension and data retention timeline

7.6 Service Restoration

When payment is successfully processed:

  • All grace period restrictions are immediately lifted
  • Full Platform access is restored for administrators and end users
  • API and webhook services resume normal operation
  • You will receive confirmation of service restoration

7.7 Usage-Based Billing

Certain services may incur usage-based charges including:

  • API request volume exceeding plan limits
  • Additional workspace or user accounts beyond plan allocation
  • Premium data retention periods
  • Enhanced support services

You are responsible for monitoring usage levels and associated costs through your account dashboard. Usage charges are calculated monthly and billed in arrears.

7.8 Fee Increases

We may increase subscription fees with 30 days advance written notice. Fee increases take effect at your next renewal date. If you do not accept a fee increase, you may cancel your subscription before the renewal date.

7.9 Refund Policy

All fees are non-refundable except as expressly stated in our Refund Policy or as required by applicable consumer protection laws. Partial-period refunds are not provided for mid-cycle cancellations or service suspensions.

7.10 Billing Disputes

You must notify us in writing of billing disputes within 30 days of the disputed charge. We will investigate legitimate disputes in good faith and issue refunds or credits for verified billing errors.

8. Data Retention and Deletion

8.1 Data Retention Following Suspension

If your account remains suspended due to non-payment, we will retain your Customer Data for 90 days from the suspension date (“Data Retention Period”). During this period:

  • You may export your data through the administrator dashboard
  • You will receive warning notifications 15 days before permanent deletion
  • Read-only access remains available for data export purposes

8.2 Data Deletion

At the end of the Data Retention Period:

  • All Customer Data including workspaces, end users, call records, and analytics will be permanently deleted
  • Deletion is irreversible and data cannot be recovered
  • We will send final deletion warning 15 days prior to permanent removal
  • Subscription records will be anonymized for billing compliance

8.3 Data Export

You may export your data at any time including during suspension through:

  • Administrator dashboard export function
  • API data export endpoints (if available under your plan)
  • Support request for bulk data extraction

Exported data includes agency information, workspaces, users, subscription details, email logs (90 days), and audit logs in JSON format.

8.4 Immediate Deletion Requests

You may request immediate data deletion by contacting [email protected]. Deletion requests are processed within 30 days subject to legal retention obligations for billing, tax compliance, and dispute resolution.

9. Data Privacy and Protection

9.1 Privacy Policy

Voice AI Portal processes personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for reviewing and complying with the Privacy Policy.

9.2 Data Processing Roles

For purposes of UK GDPR and data protection laws:

  • You act as Data Controller for personal data of your clients and their end-users that you process through the Platform
  • Voice AI Portal acts as Data Processor processing personal data on your behalf according to your instructions
  • You must ensure lawful basis for processing (consent, legitimate interest, contractual necessity, or legal obligation) before inputting personal data into the Platform

9.3 Data Processing Agreement

For customers subject to UK GDPR, EU GDPR, or similar data protection regulations, our Data Processing Agreement (DPA) governs personal data processing. The DPA is available upon request and forms part of these Terms for applicable customers.

9.4 Customer Compliance Obligations

You represent and warrant that:

  • You have obtained all necessary consents, provided required privacy notices, and established lawful bases for processing personal data through the Platform
  • You will comply with all applicable data protection laws including UK GDPR, EU GDPR, CCPA, PIPEDA, and regional privacy regulations
  • You will implement appropriate technical and organizational measures to protect personal data
  • You will promptly notify Voice AI Portal of data breaches, regulatory inquiries, or data subject access requests requiring our assistance

9.5 Sub-Processors

Voice AI Portal may engage third-party sub-processors to assist in providing the Service. Our current sub-processor list is available upon request and includes voice AI platform providers, cloud infrastructure services, and analytics tools. We will provide notice of new sub-processors and you may object to their engagement in accordance with our DPA.

9.6 Data Security Measures

We implement appropriate technical and organizational security measures including:

  • Encryption of data in transit using TLS 1.2 or higher
  • Encryption of data at rest using industry-standard algorithms
  • Role-based access controls and authentication mechanisms
  • Regular security assessments, penetration testing, and vulnerability scanning
  • Employee security training and confidentiality agreements
  • Incident response and business continuity procedures

However, no system is completely secure. You acknowledge inherent risks in internet-based data transmission and electronic storage.

9.7 Data Location and Transfers

Your data is processed and stored in the United Kingdom and European Economic Area. By using the Service, you consent to data processing in these locations. For transfers outside your jurisdiction, we implement appropriate safeguards including Standard Contractual Clauses, adequacy decisions, or other lawful transfer mechanisms.

9.8 Data Subject Rights

You are responsible for responding to data subject access requests, rectification requests, erasure requests, and portability requests from individuals whose data you process through the Platform. We will provide reasonable assistance as outlined in our DPA.

10. Service Levels and Availability

10.1 Service Availability Target

Voice AI Portal aims to maintain 99.5% monthly uptime for core Platform functionality, calculated as the percentage of time the Service is available excluding scheduled maintenance. This target is a goal, not a guarantee, and does not constitute a Service Level Agreement unless separately contracted.

10.2 Factors Affecting Availability

Service availability may be impacted by:

  • Third-party voice AI provider outages or performance issues
  • Internet connectivity problems beyond our control
  • Distributed denial of service (DDoS) attacks
  • Force majeure events including natural disasters, government actions, or infrastructure failures
  • Scheduled maintenance windows announced with reasonable advance notice

10.3 Scheduled Maintenance

We may perform scheduled maintenance requiring temporary service disruption. We will provide advance notice of scheduled maintenance except for emergency security updates or critical system repairs.

10.4 Support Services

Technical support is provided according to your subscription tier:

  • Starter Support: Email support with 48 business hour response time for normal priority issues
  • Professional Support: Email and chat support with 24 hour response time for high priority issues
  • Agency Support: Priority email and chat support with 12 hour response time for critical issues

Support availability, response times, and channels vary by plan level.

10.5 No Guaranteed Uptime

VOICE AI PORTAL DOES NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE SERVICE. The Service is provided “as is” and “as available” without warranties regarding availability, performance, or fitness for particular purposes.

11. Warranties and Disclaimers

11.1 Mutual Representations

Each party represents and warrants that:

  • It has full legal authority to enter into these Terms
  • These Terms constitute a valid, binding, and enforceable obligation
  • Its performance will not violate any laws, regulations, or agreements with third parties

11.2 Customer Warranties

You represent and warrant that:

  • All Customer Data provided to the Platform is lawfully obtained and processed
  • Your use of voice AI services complies with all applicable telecommunications, privacy, and consumer protection laws
  • You have obtained all necessary consents, licenses, and authorizations for your voice AI operations
  • You will not use the Platform for any unlawful, fraudulent, or deceptive purposes

11.3 DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, VOICE AI PORTAL PROVIDES THE SERVICE “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL WARRANTIES INCLUDING:

  • MERCHANTABILITY: We do not warrant the Service is suitable for your particular purposes
  • FITNESS FOR A PARTICULAR PURPOSE: We do not guarantee the Service will meet your specific requirements
  • NON-INFRINGEMENT: We do not warrant the Service is free from third-party intellectual property claims
  • ACCURACY: We do not guarantee accuracy, reliability, or completeness of data, analytics, or reports
  • UNINTERRUPTED ACCESS: We do not warrant error-free, secure, or continuously available Service
  • THIRD-PARTY SERVICES: We disclaim all warranties regarding integrated third-party voice AI platforms

Some jurisdictions do not allow disclaimer of implied warranties, in which case the above limitations may not apply to you to the extent prohibited by law.

12. Limitation of Liability

12.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOICE AI PORTAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, business opportunities, or anticipated savings
  • Loss of data or failure of data security
  • Business interruption or work stoppage
  • Reputational harm or loss of goodwill
  • Cost of substitute services or technology
  • Regulatory fines or penalties imposed on you
  • Claims by your clients or third parties

This exclusion applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and whether or not Voice AI Portal was advised of the possibility of such damages.

12.2 Liability Cap

VOICE AI PORTAL’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO VOICE AI PORTAL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. If you have used the Service for less than twelve months, liability is capped at the amount paid during your entire subscription period.

12.3 Exceptions to Limitations

The limitations in this Section 12 do not apply to:

  • Your payment obligations under these Terms
  • Your indemnification obligations under Section 13
  • Liability arising from gross negligence or willful misconduct
  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Violations of intellectual property rights
  • Any other liability that cannot be excluded or limited under applicable law

12.4 Third-Party Claims

Voice AI Portal is not liable for claims arising from third-party voice AI platforms, integrations, or services you access through the Platform. Your recourse for such claims is exclusively against the responsible third-party provider.

12.5 Allocation of Risk

You acknowledge that the fees charged by Voice AI Portal reflect the allocation of risk established by these limitations of liability. These limitations are fundamental elements of the agreement between you and Voice AI Portal.

13. Indemnification

13.1 Customer Indemnification Obligations

You agree to indemnify, defend, and hold harmless Voice AI Portal, ALIM Ltd, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees and court costs) arising from or related to:

  • Your violation of these Terms or applicable laws
  • Your voice AI operations including TCPA violations, Do Not Call violations, and unauthorized calling
  • Privacy law violations including UK GDPR breaches, CCPA violations, and data protection failures
  • Your failure to obtain proper consents for voice communications or data processing
  • Regulatory enforcement actions, fines, or penalties imposed due to your conduct
  • Claims by your clients, their end-users, or third parties
  • Your Customer Data including infringement claims or privacy violations
  • Your breach of representations, warranties, or covenants in these Terms
  • Negligent or wrongful acts or omissions in your use of the Service

13.2 Indemnification Procedure

If Voice AI Portal seeks indemnification under this Section:

  • We will provide prompt written notice of the claim (delay does not waive indemnification except to the extent you are prejudiced)
  • You will have sole control of defense and settlement, provided settlements do not impose obligations on Voice AI Portal without our consent
  • We may participate in defense with counsel of our choosing at our expense
  • You will not settle any claim in a manner that admits fault on behalf of Voice AI Portal or imposes obligations on us without our prior written consent

13.3 Voice AI Portal Indemnification

Voice AI Portal will indemnify you against third-party claims that the Platform, when used in accordance with these Terms, infringes valid intellectual property rights. This indemnification is contingent on:

  • Prompt written notice of the claim
  • Voice AI Portal having sole control of defense and settlement
  • Your reasonable cooperation in the defense

Voice AI Portal’s obligations do not extend to claims arising from modifications you make to the Platform, use in combination with third-party products, or your violation of these Terms.

14. Term and Termination

14.1 Subscription Term

Your subscription begins on the date you create an account and accept these Terms, continuing for the initial subscription period you selected (monthly or annually). Unless terminated earlier in accordance with these Terms, subscriptions automatically renew for successive periods equal to the initial term.

14.2 Automatic Renewal

Subscriptions renew automatically unless you cancel before the renewal date. Renewal charges will be billed at the then-current rates using your payment method on file. You may disable automatic renewal through your account settings.

14.3 Termination for Convenience

Either party may terminate the subscription:

  • You may terminate by providing 30 days advance written notice and disabling automatic renewal
  • We may terminate by providing 30 days advance written notice
  • Termination for convenience takes effect at the end of the current billing period

14.4 Immediate Termination for Cause

Voice AI Portal may immediately terminate or suspend your account without notice for:

  • Material breach of these Terms including prohibited activities under Section 4
  • Non-payment of fees after grace period expiration and data retention period
  • Fraudulent activity, multiple account creation, or circumvention of restrictions
  • Legal or regulatory requirements compelling termination
  • Conduct that threatens security, integrity, or availability of the Platform
  • Violation of third-party voice AI provider terms resulting in integration access loss

14.5 Effect of Termination

Upon termination:

  • Your license to access and use the Platform immediately ceases
  • All white-label client portals you manage will become inaccessible
  • API access and webhook integrations will be disabled
  • Recurring billing charges will cease (subject to amounts owed for the current period)
  • You must immediately discontinue all use of Voice AI Portal trademarks and branding

14.6 Post-Termination Data Access

Following termination:

  • You will have 30 days to export Customer Data through the Platform
  • After 30 days, we may delete Customer Data in accordance with our retention policies
  • We are not obligated to provide Customer Data in specific formats or via alternative means
  • You remain responsible for ensuring you have backups of critical data

14.7 Permanent Ban for Violations

If your account is terminated for violation of these Terms, you are permanently prohibited from:

  • Creating new accounts on Voice AI Portal
  • Accessing the Platform through third-party accounts or proxies
  • Using technical measures to circumvent termination
  • Engaging with the Service under different business names or related entities

14.8 Survival

Sections that by their nature should survive termination will remain in effect, including Sections 6 (Intellectual Property), 7 (Payment Obligations for periods prior to termination), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Dispute Resolution).

15. Dispute Resolution and Governing Law

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15.2 Informal Dispute Resolution

Before initiating formal dispute resolution proceedings, you agree to contact Voice AI Portal at [email protected] and attempt to resolve disputes informally for 30 days. Most disputes can be resolved efficiently through good-faith negotiation.

15.3 Jurisdiction

Any disputes arising from or related to these Terms or the Service that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15.4 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES WITH VOICE AI PORTAL ONLY ON AN INDIVIDUAL BASIS. You waive any right to participate in class actions, consolidated proceedings, or representative actions.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, Data Processing Agreement (if applicable), and any Order Forms or Statements of Work you execute, constitute the entire agreement between you and Voice AI Portal regarding the subject matter herein. These Terms supersede all prior or contemporaneous agreements, negotiations, or representations, whether oral or written.

16.2 Amendments

Voice AI Portal may modify these Terms at any time by posting updated Terms on the Platform and notifying you via email. Continued use of the Service after the effective date constitutes acceptance of modified Terms. If you do not agree to modifications, you must discontinue use and cancel your subscription.

16.3 Assignment

You may not assign, transfer, or delegate these Terms or your account without Voice AI Portal’s prior written consent. Voice AI Portal may assign these Terms to affiliates or in connection with mergers, acquisitions, or asset sales. Any prohibited assignment is void.

16.4 Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. Invalid provisions shall be reformed to the minimum extent necessary to make them enforceable while preserving the parties’ original intent.

16.5 Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving party. Failure to enforce any right or provision does not constitute a waiver of that or any other right or provision.

16.6 Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control including natural disasters, acts of war or terrorism, government actions, labor disputes, internet infrastructure failures, or third-party service outages. Affected parties must provide prompt notice and make reasonable efforts to resume performance.

16.7 Independent Contractors

The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, franchise, employment, or fiduciary relationship. Neither party has authority to bind the other or incur obligations on the other’s behalf.

16.8 Third-Party Beneficiaries

These Terms are solely for the benefit of you and Voice AI Portal. No third party (including your clients, integrated voice AI providers, or other users) has any right to enforce or rely upon any provision of these Terms.

Notices are effective upon receipt if delivered via email, one business day after sending if sent via recognized overnight courier, or three business days after mailing if sent via registered mail.

16.10 Export Compliance

You agree to comply with all applicable export and import control laws and regulations. You will not access or use the Service in violation of export embargoes or other restrictions.

16.11 Language

These Terms are drafted in English. If translated into other languages, the English version shall prevail in case of conflicts or ambiguities.
